Feature Artist Agreement – Terms & Conditions

Welcome to the Tina Smith Music Feature Artist Agreement. These Terms and Conditions govern your participation as a Primary Artist who engages Tina Smith as a featured artist on your song(s).
By submitting the Feature Artist Agreement form, you acknowledge that you have read, understood, and agree to abide by these Terms.
1. Scope of Services
Tina Smith ("Feature Artist") agrees to provide a recorded vocal performance ("Feature Performance") for the song titled [Song Title], to be included in the Primary Artist’s project.
The Feature Artist’s role is limited to delivering the agreed-upon recorded performance.
Any mixing, mastering, or additional production is the responsibility of the Primary Artist.
2. Payment & Compensation
The Primary Artist agrees to compensate the Feature Artist using one of the following payment structures:
Option A: Flat Fee (Work-for-Hire)
A one-time, non-refundable fee of $75.
The Feature Artist waives future royalties and grants the Primary Artist a non-exclusive license to use the Feature Performance.
Option B: Reduced Fee + Royalties
A reduced upfront payment of $25, plus 15% of net revenue from streaming, downloads, sync licensing, and monetization.
Royalties are to be paid quarterly via a transparent tracking system (e.g., DistroKid, TuneCore, or another mutually agreed-upon method).
🛑 All payments must be made in full before the Feature Performance is delivered.
3. Revisions & Deliverables
The Feature Artist will provide up to two (2) revisions at no additional cost.
Additional revisions will be charged at $25 per revision.
Revisions include:
✅ Vocal adjustments (timing, pronunciation, tone).
❌ Rewriting entire sections or changing the song concept after recording.
4. Content Restrictions
The Feature Artist will not participate in songs that contain:
Explicit language (profanity, offensive content).
Hateful, violent, or derogatory themes.
If the submitted version violates this clause, the Feature Artist reserves the right to refuse participation without refund.
5. Approval & Quality Control
The Feature Artist must approve the final version of the Song before it is released.
Approval must be obtained in writing via email or another documented method.
The Feature Artist is not responsible for mixing, mastering, or production quality but retains the right to decline approval if the final mix is misrepresented.
6. Licensing, Remixes & Unauthorized Use
The Primary Artist agrees to the following usage restrictions:
✅ Permitted Use
The Primary Artist may distribute the song on streaming platforms, social media, and digital stores.
🚫 Prohibited Use Without Written Approval
Using the Feature Performance in film, TV, advertisements, or sync licensing deals.
Remixing, altering, or modifying the Feature Performance with AI or digital processing.
Selling or leasing the Feature Performance as a standalone product (e.g., stems, sample packs).
Any unauthorized use of the Feature Performance will be considered a breach of contract.
7. Credit & Promotion
The Feature Artist must be credited as:
"Feat. Tina Smith"
or another mutually agreed-upon format.
The Feature Artist is not obligated to promote the song but may choose to do so.
The Primary Artist must notify the Feature Artist of any major promotional campaigns.
8. Right to Remove Feature Credit
If the final version of the Song significantly differs from the approved version due to:
Excessive remixing
Unauthorized AI modifications
Poor production quality
The Feature Artist reserves the right to remove their name from the credits.
This request must be honored before the Song is released or updated on streaming platforms.
9. Ownership & Rights
The Primary Artist retains full ownership of the Song.
The Feature Artist retains ownership of their vocal performance unless purchased via a flat fee buyout.
If the royalty-based option is chosen, the Feature Artist retains their agreed-upon percentage of revenue.
10. No Unauthorized AI or Digital Alterations
The Feature Performance may not be altered, cloned, or manipulated using AI technology.
The Feature Artist must approve any AI modifications in writing.
11. Refunds & Cancellations
The following refund policies apply:
If the Feature Artist Fails to Deliver
If the Feature Artist fails to deliver within 60 days of payment, the Primary Artist is entitled to a full refund.
If the Primary Artist Cancels
If the Primary Artist cancels after payment but before recording, a 50% refund may be issued.
If the recording has already started, no refunds will be issued.
Breach of Contract
If the Primary Artist violates contract terms (e.g., unauthorized licensing, explicit content, AI modifications), the Feature Artist may terminate the agreement without refund.
12. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Florida, USA.
Any disputes will first be resolved through mediation before legal action is taken.
13. Agreement Acknowledgment
By submitting the Feature Artist Agreement form, the Primary Artist acknowledges that they have:
✅ Reviewed these Terms & Conditions in full.
✅ Understood and agreed to abide by them.
✅ Accepted that failure to comply may result in contract termination.
